Adonis Wellness, LLC (“Adonis Wellness,” “we,” “our,” or “us”) owns and operates the websites located at adonis-wellness.com, along with any affiliated or related websites that we or our partners may provide now or in the future (collectively referred to as the “Site”).

Through the Site, Adonis Wellness offers access to educational information and materials (the “Content”), products available for purchase (the “Products”), and certain healthcare-related services (the “Services”).

By accessing or using the Site, you agree to comply with these Terms of Service (“Terms”) as well as all applicable laws and regulations. Certain portions of the Site, Services, or purchases may require you to register as a user.

Please review these Terms carefully before using the Site. By creating an account, accessing the Site, or using any Services or Products, you acknowledge that you have read, understood, and agree to be bound by these Terms and any policies referenced on the Site.

You must be the age of majority in your state or jurisdiction to use the Site or Services. If you do not agree to these Terms, you must not access or use the Site.

Your continued use of the Site, Services, or Products confirms your acceptance of these Terms and Adonis Wellness’s Privacy Policy (collectively referred to as the “Terms”). If you do not meet eligibility requirements or do not agree with these Terms, you are not authorized to use the Site or Services.

We may introduce additional features, tools, or services over time. Any such additions will also be governed by these Terms. Adonis Wellness reserves the right to update or modify these Terms at any time, and changes become effective immediately upon being posted on the Site. It is your responsibility to review these Terms periodically. Continued use of the Site or Services after changes are posted indicates your acceptance of those revisions.

Services

Adonis Wellness provides access to certain products, healthcare services, and informational content through its website. These Services may include, but are not limited to:

• Prescription fulfillment coordination for certain medications; and

• Telehealth and telemedicine services provided by licensed healthcare professionals.

Our Services are available only to individuals who have reached the legal age of majority in their jurisdiction of residence.

Prescription Fulfillment Services

Adonis Wellness works with independent third-party pharmacies to facilitate the dispensing and delivery of prescription medications (the “Pharmacies”). 

By using our prescription fulfillment services, you understand and agree that Adonis Wellness is not a pharmacy and does not dispense medications directly. Instead, we connect patients with licensed pharmacies that process and ship prescribed medications.

By using these services, you acknowledge that Adonis Wellness does not recommend or guarantee any specific pharmacy or medication, and makes no representations regarding the reliability, suitability, or availability of prescription products supplied by these pharmacies.

Telehealth and Telemedicine Services

Licensed healthcare professionals associated with Adonis Wellness may provide medical consultations and telehealth services through the Site.

By participating in telehealth services, you acknowledge the following:

• Telehealth may not always be a replacement for in-person medical care.

• Services may only be available in certain states depending on applicable regulations and licensing requirements.

• Prior to receiving services, you must review and sign an informed consent document describing the nature of telehealth services.

Providers may conduct medical consultations, issue prescriptions when appropriate, and recommend treatment plans. If a Provider determines that your condition requires an in-person examination or care beyond telehealth capabilities, you will be advised accordingly and telehealth services may not be available for that concern.

If you communicate with a Provider through our platform, you voluntarily share health information with both the Provider and Adonis Wellness. Please review our Privacy Policy for information on how personal data is handled.

Although communications may occur through the Adonis Wellness platform, they may not always occur in real time. The Site itself does not directly provide medical care.

Emergency Disclaimer

If you believe you are experiencing a medical emergency, immediately call 911 or go to the nearest emergency department. Telehealth services provided through our platform are not intended for emergencies.

Electronic Communications

By using our Services, you agree that Providers may send you electronic communications containing medical guidance, treatment instructions, reports, test results, or other healthcare information.

Messages may be delivered through the Adonis Wellness patient portal, email, or text message. You are responsible for regularly reviewing and responding to these communications when appropriate.

Adonis Wellness and affiliated Providers are not responsible for consequences resulting from failure to review or respond to communications sent through the patient portal or electronic messaging systems.

Products

As part of Adonis Wellness’s telemedicine services, prescription products may be made available through the Site. These products may only be offered in certain U.S. states.

All purchases made through Adonis Wellness are non-refundable.

Product Use and Disclaimers

You agree to use all Products strictly in accordance with their instructions, safety guidelines, and applicable laws.

Unless specifically stated by the manufacturer, statements regarding Products have not been evaluated by government authorities, and results may differ from person to person.

Before using any Product, review the ingredient list carefully to identify potential allergens. If a Product is intended for use by a minor, a parent or legal guardian should consult a healthcare professional before use.

Information provided on the Site about Products is not a substitute for professional medical advice. Always consult a licensed healthcare provider before using any Product, particularly if you have medical conditions or are taking other medications.

Products purchased through Adonis Wellness are intended for personal use only and may not be resold.

Prescription Products

Certain Products available on the Site require a valid prescription from a licensed healthcare provider (“Prescription Products”).

You may obtain a Prescription Product only after completing a consultation with a Provider who determines that the medication is medically appropriate and issues a valid prescription.

Some prescriptions may be filled by our partner pharmacies, while others may need to be filled at a pharmacy of your choosing. If a prescription cannot be fulfilled through our partner Pharmacies, it will be sent to the pharmacy you select, and you will be responsible for pickup or delivery arrangements and payment.

Prescriptions filled by partner pharmacies may not include child-resistant packaging. If child-resistant packaging is required, consult your pharmacist regarding available alternatives.

Billing

1. Payment and Account Information

When purchasing Products or Services from Adonis Wellness, you agree to provide accurate and up-to-date billing and account information.

You are responsible for updating your contact details, billing information, and payment methods to ensure transactions can be processed successfully.

You also agree to pay any applicable taxes, duties, shipping fees, or governmental charges associated with your purchase.

2. Subscription Services

Some Services or Products may be offered through subscription plans. By enrolling in a subscription, you agree to:

• Maintain a minimum commitment of three consecutive months

• Allow automatic billing according to the subscription schedule

• Provide 30 days’ notice prior to the next billing cycle if you wish to cancel after the initial commitment period

3. Healthcare Program Participation

Adonis Wellness is not enrolled as a participating provider with federal or state healthcare programs (such as Medicare or Medicaid) or private insurance carriers.

By using our Services, you acknowledge that you are personally responsible for payment of all Products and Services provided.

4. Order Acceptance and Limitations

Adonis Wellness reserves the right to:

• Decline or cancel any order at its discretion

• Limit the quantities of Products or Services purchased

• Restrict purchases that appear to be placed by resellers, distributors, or dealers

If an order is changed or canceled, we will attempt to notify you using the contact information associated with your account.

5. HSA/FSA Payments

Adonis Wellness accepts payments from Health Savings Accounts (HSA) and Flexible Spending Accounts (FSA) through associated debit or credit cards.

However, we cannot guarantee that your plan administrator will approve your purchase as an eligible expense.

An itemized receipt will be provided, and your Provider may issue a Letter of Medical Necessity if requested. You are responsible for confirming eligibility with your HSA/FSA plan.

Termination

Adonis Wellness reserves the right to suspend or terminate your access to the Site or Services at any time if these Terms are violated or for other appropriate reasons.

Upon termination, your ability to use the Site and Services will cease immediately, but you remain responsible for any outstanding charges incurred prior to termination.

Certain provisions—including disclaimers, liability limitations, and indemnification obligations—will remain in effect even after termination.

You may also terminate your use of the Site by discontinuing access or notifying Adonis Wellness that you no longer wish to use the Services.

Disclaimer of Warranties

The Site, Services, Content, and Products are provided “as is,” “as available,” and “with all faults.”

Adonis Wellness makes no express or implied warranties, including warranties of merchantability, fitness for a particular purpose, title, durability, or non-infringement.

We do not guarantee that the Site or its Content will always be accurate, current, uninterrupted, or free from errors. We also cannot guarantee that the Site or associated systems are free from viruses or other harmful components.

Your use of the Site, Services, and Products is entirely at your own risk.

You are responsible for any damage to your devices, loss of data, or other issues that may result from using the Site or Services.

Limitation of Liability

To the fullest extent permitted by law, Adonis Wellness and its officers, directors, employees, agents, and affiliates (“Adonis Wellness Parties”) shall not be liable for damages arising from or related to the use of the Site, Content, Products, or Services.

This includes indirect, incidental, special, or consequential damages such as loss of profits, loss of data, or other intangible losses.

In all cases, the maximum liability of the Adonis Wellness Parties will not exceed the amount paid by you for Products or Services during the six months preceding the claim.

Some jurisdictions may not allow certain liability limitations, so portions of this section may not apply.

Any claim related to the Site or Services must be brought within one year of the event giving rise to the claim, or the claim will be considered waived.

Indemnification

You agree to defend, indemnify, and hold harmless Adonis Wellness, its officers, directors, employees, affiliates, agents, and partner pharmacies (collectively, the “Indemnified Parties”) from any third-party claims, damages, liabilities, expenses, or legal costs arising from:

• Your use of the Site, Services, or Products

• Your violation of these Terms

• Your violation of applicable laws or third-party rights

This obligation continues even after you stop using the Site or Services.

Dispute Resolution and Arbitration

To streamline dispute resolution, you and Adonis Wellness agree that most disputes related to these Terms will be resolved through binding arbitration rather than litigation.

By accepting these Terms, both parties waive the right to a jury trial or class-action lawsuit.

Exceptions include small claims cases, intellectual property disputes, and actions brought through government agencies.

Arbitration will follow the American Arbitration Association (AAA) Consumer Arbitration Rules.

Unless otherwise agreed, arbitration proceedings will take place in Utah.

Both parties agree that claims must be brought individually and not as part of a class action.

Governing Law

These Terms shall be governed by and interpreted according to the laws of the State of Utah, without regard to conflict-of-law principles.

Privacy Policy

Adonis Wellness respects your privacy and is committed to protecting your personal information.

Please review our Privacy Policy to understand how your personal data is collected, used, and disclosed. By using the Site or Services, you acknowledge that you have reviewed and agree to that policy.

Electronic Communications

By accessing the Site or using Services, you consent to receiving electronic communications from Adonis Wellness, healthcare providers, and partner pharmacies.

You agree that:

• Electronic communications satisfy legal requirements for written communication

• Messages are considered delivered when transmitted to you
